Cooley advised Allbirds, a global lifestyle brand, on its $348.3 million initial public offering of 23,221,152 shares of Class A common stock, which now trade on the Nasdaq Global Select Market under the symbol BIRD. Partners Nicole Brookshire, Peter Werner and Calise Cheng led the Cooley team advising Allbirds.

Cooley advised Cornerstone OnDemand, a publicly traded global leader in talent management software, on its agreement to sell to private equity firm Clearlake Capital Group. Lawyers Jamie Leigh, Ben Beerle, Rachel Proffitt and Matt Silverman led the Cooley team advising Cornerstone on the transaction, which has an enterprise value of approximately $5.2 billion.

Cooley advised Personalis on its $154.9 million initial public offering of 9,109,725 shares of common stock, including full exercise of the underwriters’ option to purchase additional shares. Personalis, whose securities now trade on the Nasdaq Global Market under the symbol “PSNL,” is a growing cancer genomics company. Partners James Kitch and Michael Tenta led the Cooley team.

Cooley advised Stitch Fix on its $120 million initial public offering of 8,000,000 shares of Class A common stock. The underwriters have a 30-day option to purchase up to 1,200,000 additional shares. Cooley partners Jodie Bourdet, Dave Peinsipp and Siana Lowrey led the team advising Stitch Fix.
