Cooley advised EsoBiotec, a biotechnology company pioneering in vivo cell therapies that has demonstrated promising early clinical activity, on its definitive agreement to be acquired by AstraZeneca (London Stock Exchange/Nasdaq Stockholm/Nasdaq: AZN) for up to $1 billion on a cash- and debt-free basis.

Cooley advised cloud-based construction software company Payapps and its private equity sponsor IFM Investors on a definitive agreement in which Payapps will be acquired by Autodesk, a multinational software company.

Cooley advised Sprout Social, a social media management software company, on its $140 million acquisition of Tagger Media, a top influencer marketing platform, and a concurrent $100 million secured debt facility, which will be partially used to fund the acquisition.

Cooley advised Decibel, developer of a customer experience analytics platform built to understand how customers interact and behave online, on its $160 million process sale to Medallia, developer of a cloud-based customer experience management application designed to capture feedback and improve the experience.
